1. Acceptance of Terms
By accessing or using the services provided by The Ledger Company through our website theledgerco.in ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services. These Terms constitute a legally binding agreement between you and The Ledger Company.
2. Services
The Ledger Company provides the following services through its platform:
- Company registration (Private Limited, LLP, OPC, and other entity types)
- Compliance filings (ROC annual returns, MCA filings, DIR-3 KYC, etc.)
- Tax services (GST registration/returns, TDS filings, income tax returns)
- Advisory services (Virtual CFO, tax planning, business advisory)
- Document preparation (MOA, AOA, DSC procurement, DIN applications)
We act as a compliance services provider. We are not a law firm, and our services do not constitute legal advice. For matters requiring legal counsel, please consult a qualified lawyer.
3. Account Registration
- You must provide accurate and complete information when creating an account.
- You are responsible for maintaining the confidentiality of your account credentials.
- You must be at least 18 years of age to use our services.
- One phone number may only be associated with one account.
- We verify your identity via OTP (One Time Password) sent to your registered phone number.
- You are responsible for all activities that occur under your account.
4. Pricing and Payments
- All prices displayed on the Platform are in Indian Rupees (INR).
- Our professional fees are separate from government fees (stamp duty, ROC charges, etc.). Both are clearly displayed before payment.
- Payments are processed securely through Razorpay. We do not store your payment card details.
- For registration services, you may opt for a partial payment (consultation fee) with the remaining balance due before filing.
- GST is applicable as per prevailing rates and is shown separately in the invoice.
- Prices are subject to change. The price at the time of your order placement will be honoured.
5. Refund Policy
- Before filing: If we have not yet submitted any application to the government authority, a full refund of the professional fee will be issued. Government fees paid on your behalf are non-refundable.
- After filing: Once an application has been filed with MCA or any government authority, professional fees are non-refundable as the work has been substantially completed.
- Rejected filings: If a filing is rejected due to an error on our part, we will refile at no additional cost. This is our zero-rejection guarantee.
- Processing time: Approved refunds are processed within 7–10 business days to the original payment method.
6. Client Responsibilities
- Provide accurate, complete, and truthful information and documents.
- Respond to document requests and queries in a timely manner. Delays in providing documents will delay the filing process.
- Ensure all KYC documents (PAN, Aadhaar, address proof) are valid and up-to-date.
- Inform us promptly of any changes to your personal or business information.
- Not use our services for any unlawful purpose or to file fraudulent documents.
7. Service Timelines
Estimated timelines provided on the Platform (e.g., "7–10 business days") are indicative and depend on government processing times, document completeness, and other factors beyond our control. While we strive to meet the stated timelines through our 28-point compliance workflow, we do not guarantee specific completion dates. We will keep you informed of progress through your dashboard and notifications.
8. Intellectual Property
All content on the Platform — including text, graphics, logos, UI design, and software — is the property of The Ledger Company and is protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our content without written permission.
9. Limitation of Liability
- Our total liability for any claim arising from our services shall not exceed the amount paid by you for the specific service in question.
- We are not liable for delays caused by government authorities, incomplete client documentation, or force majeure events.
- We are not liable for any indirect, incidental, special, or consequential damages.
- We provide our services on an "as is" basis and do not guarantee any specific outcome from government authorities.
10. Order Cancellation
- You may request cancellation of an order by contacting us before filing has commenced.
- We reserve the right to cancel orders if we detect fraudulent activity, incomplete documentation after repeated requests, or violations of these Terms.
- Upon cancellation, any active obligations associated with the order will be frozen.
11. Dispute Resolution
Any disputes arising from these Terms or our services shall be governed by the laws of India. Both parties agree to first attempt resolution through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts in Mathura, Uttar Pradesh, India.
12. Changes to Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated revision date. Your continued use of the Platform after changes constitutes acceptance of the revised Terms. We recommend reviewing this page periodically.
