What Is a Limited Liability Partnership (LLP)?
A Limited Liability Partnership (LLP) is a unique business structure introduced in India through the Limited Liability Partnership Act, 2008. It combines the flexibility of a partnership with the limited liability protection of a company. In an LLP, partners are not personally liable for the debts and obligations of the business — their liability is limited to their agreed contribution to the LLP.
LLPs are popular among professionals (CAs, lawyers, architects), small businesses, and service-oriented firms because of their lower compliance burden compared to private limited companies while still offering legal protection to partners.

Eligibility for LLP Registration
- Minimum 2 Designated Partners: At least 2 individuals must be designated partners. One of them must be a resident of India (stayed in India for at least 182 days in the preceding year).
- Designated Partner Identification Number (DPIN): Every designated partner must obtain a DPIN (equivalent to DIN for companies) from the MCA.
- Digital Signature Certificate (DSC): At least one designated partner must have a valid DSC for signing electronic forms.
- No Restriction on Capital: There is no minimum capital requirement to register an LLP in India.
- Foreign Nationals/NRIs: Can be partners in an LLP, but at least one designated partner must be an Indian resident.
Step-by-Step LLP Registration Process
Step 1: Obtain DSC for Designated Partners
Both designated partners must obtain a Class 3 Digital Signature Certificate from an MCA-empanelled certifying authority. This enables electronic signing of registration documents.
Step 2: Apply for DPIN
Apply for Designated Partner Identification Number through the DIR-3 form on the MCA portal. DPIN can also be obtained as part of the FiLLiP incorporation form.
Step 3: Reserve LLP Name
Reserve a unique name for the LLP using the RUN-LLP (Reserve Unique Name for LLP) form. The name must end with "LLP" or "Limited Liability Partnership". The name should not be identical or similar to existing LLPs, companies, or registered trademarks.
Step 4: File FiLLiP Form (Incorporation)
File the FiLLiP (Form for Incorporation of LLP) on the MCA portal with the following details:
- Proposed LLP name
- Registered office address
- Details of designated partners (name, address, DPIN, DSC)
- Capital contribution details
- Business activity description
Step 5: Upload Required Documents
- Identity proof of all partners (PAN card + passport/Aadhaar/voter ID)
- Address proof of all partners (not older than 2 months)
- Proof of registered office (utility bill + rent agreement / ownership document + NOC from owner)
- Subscriber sheet signed by all partners
- Consent of designated partners
Step 6: Receive Certificate of Incorporation
Upon approval by the RoC, the Certificate of Incorporation is issued along with the LLP Identification Number (LLPIN). This typically takes 10-15 working days from the date of filing.
Step 7: File LLP Agreement
The LLP Agreement must be filed with the RoC in Form 3 within 30 days of incorporation. This is a critical document that governs the mutual rights and duties of partners and the LLP.
LLP Agreement: Key Clauses
The LLP Agreement should include the following essential clauses:
- Name and registered office of the LLP
- Nature and scope of business
- Capital contribution of each partner
- Profit sharing ratio
- Rights and duties of designated partners
- Procedure for admission and retirement of partners
- Dispute resolution mechanism
- Winding up provisions
- Indemnification clauses
If no LLP Agreement is filed, the provisions of Schedule I of the LLP Act, 2008, apply by default — which may not suit all business arrangements.

- Form 11 (Annual Return): Must be filed within 60 days from the end of the financial year (i.e., by May 30).
- Income Tax Return (ITR-5): Must be filed by July 31 (non-audit cases) or October 31 (audit cases).
- Tax Audit: Mandatory if turnover exceeds ₹1 crore (₹10 crore under presumptive taxation).
- GST Returns: If GST registered, monthly/quarterly GSTR-1 and GSTR-3B filings.
